TERMS AND CONDITIONS
Last updated: 24 August 2026
These Terms and Conditions ("Terms") govern your use of the services provided by Batsen BV, hereinafter referred to as Invicta Capital ("we", "us", "our"). By purchasing, subscribing to, or otherwise using our services, you ("you", "the Client") agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use our services.
1. DEFINITIONS
"Services" refers to any digital service, coaching program, subscription, consulting, agency service, software access, or product provided by Invicta Capital.
"Client" refers to any individual or legal entity purchasing or using our Services.
"Order Confirmation" refers to the written or digital confirmation (email, checkout receipt, invoice) sent by Invicta Capital summarizing the agreed Services, price, and terms.
"Installment Agreement" refers to any agreement where payment is spread over multiple installments (e.g. 3, 4, 6 or more months).
"Subscription" refers to any recurring service billed on a regular interval.
2. SERVICES
Invicta Capital provides a range of Services including but not limited to marketing services, coaching programs, digital training, automation services, consulting, and AI implementation. Specific scope, deliverables, and duration of each Service are described in the Order Confirmation sent to the Client after purchase.
3. PRICES AND CURRENCY
All prices are listed in EUR unless stated otherwise. Prices may be shown either inclusive or exclusive of VAT. Applicable VAT is automatically calculated at checkout based on the Client's billing country and business status. EU business clients providing a valid VAT number may qualify for reverse charge in accordance with EU VAT law.
Invicta Capital reserves the right to update prices at any time; existing agreements remain unaffected by such changes for their agreed duration.
4. PAYMENT TERMS
4.1 Payment Obligation
Payment is due on the dates and by the means specified in the Order Confirmation. All transactions are processed via secure third-party payment providers (currently Stripe).
4.2 Installment Agreements
For agreements involving installment payments (including but not limited to 3-, 4-, or 6-month payment plans), the Client commits to completing all agreed installments. These installments form one indivisible payment obligation. The Client cannot unilaterally cancel, pause, or reduce the remaining installments before completion of the agreement.
4.3 Automatic Debit Authorization
By entering into a Subscription or Installment Agreement, the Client explicitly authorizes Invicta Capital to automatically charge the agreed amount to the Client's payment method on the agreed dates, until the full payment obligation has been completed.
4.4 Payment Method Failure
If an automatic charge fails (due to expired card, insufficient funds, revoked mandate, or any other reason), the Client remains liable for the full outstanding amount and must provide a valid alternative payment method within seven (7) calendar days.
5. LATE PAYMENT AND NON-PAYMENT
In the event of a failed or refused payment, Invicta Capital will send a payment reminder specifying a payment deadline of fourteen (14) calendar days from the date of the reminder.
If payment is not received within this deadline:
- Statutory interest under Belgian law becomes payable on the outstanding amount.
- Extrajudicial collection costs of at least €40, or a higher amount in accordance with applicable Belgian law, may be charged.
- Invicta Capital reserves the right to transfer the outstanding claim to a third-party collections agency, with all resulting costs borne by the Client.
- Invicta Capital may suspend or terminate access to the Services until all outstanding amounts are settled.
6. RIGHT OF WITHDRAWAL
6.1 Consumers (B2C)
Consumers established within the European Union have a statutory right of withdrawal of fourteen (14) calendar days from the date of purchase, in accordance with Directive 2011/83/EU on consumer rights.
This right of withdrawal expires as soon as service delivery has begun with the express prior consent of the Consumer. By starting a coaching call, accessing digital training content, activating a Subscription, or otherwise commencing service delivery, the Consumer explicitly waives their right of withdrawal for any Services already rendered.
6.2 Business Clients (B2B)
Business clients do not have a statutory right of withdrawal. All B2B agreements are final upon confirmation.
7. CANCELLATION, TERMINATION, AND REFUNDS
7.1 Rolling Subscriptions
This section applies only to rolling subscriptions without a fixed end date (for example, the Invicta Capital Academy monthly membership). It does not apply to Installment Agreements or any fixed-term Subscription; those are governed exclusively by Section 7.2.
Rolling subscriptions may be cancelled by the Client at any time, effective at the end of the current billing period. No refunds are provided for the current or past billing periods.
7.2 Fixed-Term Agreements
Agreements with a fixed term (including Installment Agreements of 3, 4, 6 or more months) cannot be terminated early by the Client. The full payment obligation remains valid until the end of the agreed term, regardless of whether the Client continues to use the Services.
7.3 Refund Policy
No refunds are provided for Services already delivered, in progress, or purchased under an Installment Agreement. Installments already paid are non-refundable. The Client remains liable for all remaining installments through the end of the agreement.
Exceptions may apply only where explicitly agreed in writing by Invicta Capital, or where required by mandatory consumer protection law.
7.4 One-Month Freeze Right
The Client has the right to request a one-time freeze of up to one (1) month during the term of any Subscription or fixed-term Installment Agreement. This freeze accommodates temporary financial difficulties, personal circumstances, or other unforeseen events.
Conditions:
- The freeze must be requested in writing (by email to ilias@invictacapital.co) at least seven (7) calendar days before the next scheduled billing date.
- During the freeze period, no payments will be charged and no active service delivery is provided.
- After the freeze period ends, the agreement automatically resumes. Any remaining installments or billing cycles are shifted forward by the length of the freeze, extending the total contract duration by the same period.
- This freeze right may be exercised once per Installment Agreement, or once per 12-month period for rolling Subscriptions.
- Requests submitted less than seven (7) calendar days before the next billing date will apply to the following billing cycle.
Approval of the freeze is granted automatically upon a valid written request meeting these conditions.
8. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide accurate, current, and complete information at the time of purchase.
- Cooperate in good faith with Invicta Capital in the delivery of the Services.
- Not misuse, resell, or redistribute the Services without prior written consent.
- Respect all intellectual property rights of Invicta Capital and third parties.
Failure to meet these obligations does not release the Client from the payment obligation.
9. INTELLECTUAL PROPERTY
All materials, methods, templates, software, training content, and documentation provided by Invicta Capital remain the exclusive intellectual property of Invicta Capital. The Client receives a limited, non-transferable, non-exclusive license to use these materials for their own business purposes only.
10. LIMITATION OF LIABILITY
Invicta Capital is committed to delivering high-quality Services but does not guarantee specific business results, revenue, or outcomes. To the maximum extent permitted by law, Invicta Capital's total liability for any claim arising out of these Terms is limited to the amount actually paid by the Client for the Services in the twelve (12) months preceding the claim.
Invicta Capital is not liable for indirect, incidental, consequential, or punitive damages including but not limited to loss of profit, business opportunity, or data.
11. MODIFICATIONS TO THE AGREEMENT
Any changes to an individual agreement (scope, timeline, payment terms) are only valid when confirmed in writing (email) by both parties.
Invicta Capital may update these Terms from time to time. The version applicable to an existing agreement is the version accepted by the Client at the time of purchase.
12. ACCEPTANCE OF TERMS
By completing checkout, the Client explicitly confirms acceptance of these Terms and Conditions. This acceptance is registered digitally and stored as proof of agreement. In addition, the Order Confirmation sent by email constitutes binding written record of the specific agreement.
13. GOVERNING LAW AND JURISDICTION
These Terms are governed by Belgian law. Any dispute arising from or related to these Terms, or the Services provided under them, shall be submitted to the exclusive jurisdiction of the competent courts of Brussels, Belgium.
